Five vehicles. One ladder.
A coupon ceiling that steps down with each issue.

FCMA SPV Ltd is issuing five sequential Special Purpose Vehicles. Each opens only when the one before it has closed at capacity, and each is priced on the same five-tier ladder as the first — with a lower ceiling. SPV 1 carries the highest coupon the series will offer, and it is now in its final allocation.

Allocation status

SPV 1 is in its final allocation.

Allocation is confirmed in the order in which completed subscriptions are received. When SPV 1 reaches capacity it closes, and every subscription received after that point is allocated to SPV 2 on SPV 2’s ladder.

SPV 1 Open · Final allocation

The highest coupon in the series. Closing at capacity.

SPV 1 is priced at 1.00% to 3.00% per month across the five tiers. No later vehicle in the series will open at this ceiling. Once the remaining capacity is allocated the vehicle closes, and SPV 2 opens at a ceiling of 2.50%.

The series

Each vehicle opens at a lower ceiling than the last.

Five vehicles, issued one after another. The Starter tier holds at 1.00% per month throughout the series; the Sovereign ceiling steps down from 3.00% to 1.25%. Investors are allocated to whichever vehicle is open when their subscription completes.

The coupon ladder

One ladder.
Five ceilings.

Every vehicle uses the same five subscription tiers and the same spacing rule as SPV 1. The only variable is the ceiling. Rates shown are monthly coupon rates per 28-day cycle.

Vehicle currently open for allocation Monthly coupon rate, per 28-day cycle, gross of tax
RULE 01Same tiers, every vehicle

Starter from £5,000, Growth from £50,000, Premium from £200,000, Elite from £500,000, Sovereign from £1,000,000. The brackets do not change from one vehicle to the next.

RULE 02Same spacing, lower ceiling

Within each vehicle the four steps between Starter and Sovereign are equal: step = (ceiling − 1.00%) ÷ 4. SPV 1 steps by 0.50%, exactly as the original ladder. Later vehicles keep the shape and compress it.

RULE 03Priced at issue, fixed for the term

An investor’s rate is the rate on the ladder of the vehicle they are allocated to, at the tier their subscription falls into. It does not move to a later vehicle’s ladder, and a later subscriber cannot claim an earlier vehicle’s rate.

What the step-down means

The same capital. A different vehicle.

Move the slider — or type an amount — to compare the monthly coupon your tier would carry in SPV 1 against the next vehicle and the last. All figures contractual, gross of tax, illustrative only.

How allocation works

Four steps from enquiry to a confirmed allocation.

Allocation is sequential and dated. Your place in the queue is set by the date your subscription completes, not the date you first enquire.

1

Certify

Confirm your investor category. FCMA can only accept subscriptions from certified high net worth and self-certified sophisticated investors.

2

Subscribe

Complete the subscription agreement for the vehicle currently open, together with identity, source-of-funds and suitability documentation.

3

Allocation confirmed

Once documentation is complete and funds have cleared, your allocation is confirmed in date order against the vehicle’s remaining capacity.

4

Vehicle closes

When capacity is reached the vehicle closes. Any completed subscription received after that point is allocated to the next vehicle on its own ladder.

Questions

On the series and the step-down.

Why does the coupon ceiling fall with each vehicle?

Each vehicle is priced at issue. The earliest capital in the programme carries the highest coupon; as the programme’s capital base and operating record build, subsequent vehicles are priced on a lower ceiling. The tier structure and spacing rule stay the same so that the series remains straightforward to compare vehicle to vehicle.

Can I secure SPV 1’s ladder if I subscribe after it closes?

No. Rates are fixed per vehicle at issue and are not carried forward. A subscription that completes after SPV 1 has closed is allocated to SPV 2 at SPV 2’s ladder. There is no retrospective access to an earlier vehicle.

What happens if the open vehicle fills while my subscription is in progress?

Allocation is confirmed only when documentation is complete and funds have cleared. If the open vehicle reaches capacity before that point, you will be told, and your subscription will be allocated to the next vehicle unless you choose to withdraw it. We will not hold capacity on the strength of an enquiry alone.

Does my rate change if my vehicle’s ladder differs from the one I first saw?

Your rate is the rate on the ladder of the vehicle you are allocated to, at the tier your subscription falls into. It is written into your subscription agreement and does not change during the term. It is not affected by the ceiling of any later vehicle.

Are the ladder rates guaranteed?

No. The rates are contractual: they are the rate agreed in the subscription agreement between you and FCMA SPV Ltd, and depend entirely on the Issuer’s ability to pay. They are not guaranteed, not protected by the Financial Services Compensation Scheme, and not subject to the Financial Ombudsman Service. Your capital is at risk and you should be prepared to lose all of it.

Will the later vehicles share the same terms apart from the ceiling?

The tiers, spacing rule and allocation process are common to the series. All other terms of each vehicle — term, coupon cycle, minimum holding period, redemption notice — are set out in that vehicle’s own subscription agreement and offering documentation, which you should read in full before committing capital.

Final allocation

SPV 1 closes at capacity. The next vehicle opens at a lower ceiling.
